Interpretation 

In these Terms and Conditions: 

  • ‘Castella’ refers to Castella Australia (ABN 59 058 051 640). 

  • ‘Customer’ refers to the purchaser of goods from Castella. 

  • ‘Goods’ refers to all goods sold and/or delivered by Castella. 

  • ‘Order’ refers to a written or verbal order from the Customer to Castella. 

 

Acceptance 

By placing an Order or accepting delivery of the Goods, the Customer agrees to be bound by these Terms and Conditions. 

  • Supply of Goods is subject to availability. If Goods are unavailable for any reason, Castella will not be liable for any resulting loss or damage. 

 

Price and Payment 

  • All prices are in Australian dollars (AUD) unless otherwise stated. 

  • Castella reserves the right to change prices without notice. 

  • Invoices are issued in AUD and must be settled in AUD. 

For Customers with an approved trade account: 

  • Payment is required within 30 days from the end of the month in which the sale was made. 

Payment Methods: 

  • Payment may be made via cash, online banking, or credit card (excluding Diners Club). 

If payment is not received by the due date: 

  • Castella reserves the right to refer the account for debt collection or commence legal proceedings to recover the outstanding amount. 

  • The Customer may be liable for interest charges and recovery costs associated with the collection of unpaid invoices. 

 

Delivery of Goods and Risk 

  • Delivery of Goods will be made to the Customer’s nominated address. 

  • Delivery is considered complete when the Goods are delivered to this address — even if no one is present to accept them. 

If the Customer requests Castella to leave Goods at an unattended premises: 

  • The Goods will be left at the Customer’s risk. 

  • Castella may deliver Goods in separate instalments. Each instalment will be invoiced and paid in accordance with these Terms and Conditions. 

  • Failure to deliver within a specified timeframe does not entitle the Customer to cancel the Order. 

The Goods are entirely at the Customer’s risk upon delivery, even if ownership has not yet been transferred. 

 

Title (Ownership of Goods) 

  • Legal ownership of the Goods does not transfer to the Customer until full payment has been received. 

 

Claims 

The Customer must inspect all Goods upon delivery. 

  • Any defects, shortages, or issues must be reported to Castella within seven (7) days of delivery. 

  • The Customer must allow Castella the opportunity to inspect the Goods within a reasonable timeframe. 

If Castella is required to replace Goods but is unable to do so, a refund may be provided for the amount paid. 

The Customer acknowledges that Castella is not responsible for damage or defects resulting from: 

  • Failure to maintain the Goods. 

  • Use of the Goods for purposes other than those intended. 

  • Normal wear and tear, misuse, or accidents. 

It is the Customer’s responsibility to ensure the Goods are suitable for their intended application. 

 

Returns and Exchanges

Force Majeure 

Castella shall not be liable for any failure or delay in fulfilling our obligations due to circumstances beyond our reasonable control, including but not limited to: 

  • Natural disasters 

  • Strikes 

  • Supply chain disruptions 

  • Transport delays 

  • Acts of war or terrorism 

In these situations, Castella will make every reasonable effort to fulfil orders once conditions allow. 

 

Intellectual Property 

All designs, product images, website content, and materials provided by Castella are protected by copyright, trademarks, or other intellectual property rights. 

These materials may not be reproduced, distributed, or modified without our written permission. 

 

Limitation of Liability 

To the fullest extent permitted by law, Castella will not be liable for any indirect, incidental, or consequential loss or damage arising from the use of our Goods or services. 

This includes (but is not limited to) loss of profits, business interruptions, or damage resulting from delays, product defects, or installation issues. 

 

Governing Law 

These Terms and Conditions are governed by the laws of Tasmania, Australia. 

Any disputes arising from these Terms and Conditions will be subject to the jurisdiction of the Tasmanian courts. 

 

Changes to These Terms 

We may update these Terms and Conditions from time to time. Any changes will be published on our website and will take effect immediately unless otherwise stated.
